1. Use of the Site

2. Product Information and Disclaimers

Product specifications (including but not limited to purity levels, moisture content, grades, and particle sizes) are indicative and may vary between shipments. Actual specifications are confirmed in individual commercial contracts and accompanying certificates of analysis.

Commodity pricing is subject to market fluctuations and is confirmed only at the time of a formal commercial agreement. Prices displayed on the Site, if any, are for reference only.

3. Trading and Commercial Terms

All commodity trading transactions between you and the Company are governed by separate commercial contracts (purchase agreements, proforma invoices, and related documents). These Terms govern your use of the Site only and do not modify or supersede any commercial agreement.

Key commercial conditions, including but not limited to Incoterms (FOB, CIF), payment terms (Irrevocable Letter of Credit at sight), minimum order quantities, and delivery schedules, are established exclusively through direct negotiation and formal written agreements.

The Company reserves the right to decline any trade inquiry or order at its sole discretion, including but not limited to cases involving sanctioned entities, restricted destinations, or insufficient trade documentation.

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, photographs, videos, data compilations, and software, is the property of World Wide Services LLC or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

The World Wide Services name, logo, and all related marks are trademarks of the Company. You may not use these marks without our prior written permission.

You may view, download, and print pages from the Site for your own personal, non-commercial use, provided you do not modify the content and retain all copyright and proprietary notices.

5. Export Controls and Sanctions

Our trading activities are subject to export control laws and international sanctions regimes, including but not limited to:

• Nigerian export control regulations
• United Nations Security Council sanctions
• European Union restrictive measures
• United States OFAC sanctions (where applicable)
• Other applicable national and international sanctions programs

You represent and warrant that you are not located in, or a national or resident of, any country subject to comprehensive trade sanctions, and that you are not on any sanctions list. The Company conducts due diligence and reserves the right to terminate any transaction that may violate sanctions requirements.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Site is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site
• Our total liability for any claim arising from use of the Site shall not exceed the amount you paid to us, if any, in the 12 months preceding the claim

This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.

7. Indemnification

You agree to indemnify, defend, and hold harmless World Wide Services LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

8. Force Majeure

Neither party shall be liable for failure or delay in performance of any obligation under these Terms (excluding payment obligations) caused by circumstances beyond reasonable control, including but not limited to:

• Natural disasters, epidemics, or pandemics
• War, armed conflict, terrorism, or civil unrest
• Government actions, sanctions, embargoes, or trade restrictions
• Port closures, shipping disruptions, or transportation failures
• Commodity market disruptions or force majeure declared by commodity exchanges
• Cyberattacks, system failures, or telecommunications outages

The affected party shall promptly notify the other party and take reasonable steps to mitigate the impact of the force majeure event.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms shall be resolved as follows:

• The parties shall first attempt to resolve disputes amicably through good-faith negotiation
• If negotiation fails, disputes shall be submitted to arbitration in accordance with the rules of the Lagos Court of Arbitration
• The arbitration shall take place in Lagos, Nigeria, and be conducted in the English language
• The decision of the arbitrator shall be final and binding on both parties

10. Language

This Site is available in English, French, Arabic, and Chinese. In the event of any conflict or inconsistency between the English version and any translated version of these Terms, the Privacy Policy, or any other legal document on this Site, the English version shall prevail.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Site. The "Last updated" date at the top indicates when these Terms were last revised. Your continued use of the Site after any changes constitutes acceptance of the modified Terms.

For material changes that significantly affect your rights, we will make reasonable efforts to provide advance notice through the Site or via email.
